IMPORTANT—PLEASE READ.
These Terms and Conditions are a binding contract between you and SKNYShot Clinic. They govern your access to and use of the Site and any portals/tools we operate, and your inquiry, purchase, receipt, storage, transfer, use, and disposal of our research-use-only products.
By clicking “I agree,” placing an order, creating an account, or using the Site, you accept these Terms on behalf of yourself and the entity you represent and affirm you have authority to bind that entity. If you do not agree, do not access the Site and do not purchase Products.
Key Notices:
* RUO only; no clinical/consumer use. Products are not for diagnostic, therapeutic, compounding, cosmetic, household, or human/animal administration.
* Route Shipping Protection. If Route is not purchased, you bear post-tender shipping risk; see §§4–4B.
* Chargebacks. Carrier-issue chargebacks without Route are a material breach; see §3B.
* Class/Jury Waivers; Venue. Nevada law and venue apply, with a collections venue carve-out; see §18.
* Limits on liability and a one-year statute of limitations apply; see §§10 and 19.
* Policies Incorporated by Reference. These Terms incorporate and summarize: Returns, Refunds, Shipping & Compliance Policy, including Route Shipping Protection procedures; Privacy Policy; and any other posted policies referenced herein. If there is any discrepancy about return windows, costs, methods, refund timing, or Route claims, the Shipping & Returns Policy controls. Policies may be updated prospectively as described in §21.
* Order of Precedence. If documents conflict, the hierarchy is: (a) a separately executed written agreement expressly overriding these Terms; (b) a SKNYShot Clinic Sales Order Confirmation expressly amending the order; (c) these Terms; (d) SKNYShot Clinic quotations/proposals. See §§1 and 23.
* Non-waivable rights. Nothing herein limits your non-waivable rights under applicable law; these Terms allocate risk to the maximum extent permitted.
1) Purpose, Scope, Definitions & Precedence
1.1 Purpose & Framework. These Terms constitute the entire, integrated contract between SKNYShot Enterprises LLC and any natural or legal person that (a) visits or uses the Site; (b) accesses our materials or communications; or (c) inquires about, orders, receives, stores, uses, transfers, or disposes of Products. This framework is designed to allocate risk, ensure compliance, and promote uniformity under applicable law, including the Nevada Uniform Commercial Code as adopted. Electronic formation, signatures, and records are recognized and enforceable under the federal E-SIGN Act and the Nevada Uniform Electronic Transactions Act to the fullest extent permitted by law.
1.2 Definitions. In addition to terms defined elsewhere, the following apply:
(a) “Agreement” means these Terms, any Sales Order Confirmation, and any documents expressly incorporated in writing.
(b) “Products” include research-use-only reagents, standards, consumables, components, accessories, documentation, and any digital tools provided by SKNYShot Clinic, regardless of form or presentation.
(c) “Documentation” means Product-specific materials.
(d) “Policies” means our Shipping & Returns Policy, Privacy Policy, and other posted policies as updated from time to time, each incorporated by reference.
(e) “Site” means skinnyshot.clinic and any successor or affiliated domains, portals, or mobile experiences under our control.
1A) RUO Designation & Regulatory Use Limits
1A.1 FOR RESEARCH USE ONLY. ALL Products are sold for laboratory research and development purposes only. The “RUO” designation means they cannot be used for any clinical, diagnostic, therapeutic, or other use requiring regulatory approval.
1A.2 No Human/Animal Use. Products are not for administration to humans or animals. They are not drugs, foods, cosmetics, medical devices, or dietary supplements.
1A.3 Customer Obligations. You will: (a) use Products solely for lawful R&D purposes; (b) not market, resell, or divert Products for any unauthorized use; (c) handle, store, and dispose of Products consistent with professional standards and applicable laws; and (d) maintain records of receipt and use as required by law.
2) Eligibility, Credentials & Customer Representations
2.1 Qualified Personnel & Facilities. Products may only be purchased, handled, and used by qualified, trained individuals in laboratory or research facilities equipped to handle such materials safely.
2.2 Accuracy & Cooperation. All declarations and information provided to SKNYShot Clinic must be true, accurate, and complete. You agree to cooperate with verification processes and provide credentials or certifications upon request.
6) Regulatory, Sanctions & Export-Control Compliance
You agree to comply with all applicable laws, including OSHA (e.g., Lab Standard and Hazard Communication), EPA/RCRA, and other regulations for chemical handling, storage, and waste disposal. You shall not divert Products in violation of U.S. sanctions or export-control laws. You shall defend, indemnify, and hold SKNYShot Clinic harmless from claims, penalties, and costs arising from your breach of this §6.
9) Warranty Disclaimers
9.1 Products and Site. EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE PRODUCTS AND THE SITE ARE PROVIDED “AS IS.” SKNYShot Clinic DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
9.2 Research-Use Disclaimer. You acknowledge that Products are for research use, may have hazardous properties, and have not been tested for safety or efficacy in food, drugs, medical devices, cosmetics, or for any other use.
11) Indemnification & Duty to Defend
You shall defend, indemnify, and hold harmless SKNYShot Clinic from any and all claims and expenses arising out of or related to: (a) your misuse, diversion, or unlawful end-use of Products; (b) your breach of these Terms or any law, including RUO restrictions; (c) your handling, storage, or disposal of Products.
12) Data Protection & Privacy
Our collection and use of personal data are governed by our Privacy Policy. We collect standard business contact and transaction information to process orders and manage customer accounts. We are not a healthcare provider or a HIPAA “covered entity,” and our Site is not designed to receive or store Protected Health Information (PHI). You agree that you will not provide any PHI to us.
18) Governing Law, Venue & Dispute Resolution
18.1 Governing Law. These Terms are governed by the laws of the State of Nevada, without regard to conflicts-of-law principles.
18.2 Exclusive Venue. The exclusive venue for any action shall be the state courts of Washoe County, Nevada, or the U.S. District Court for the District of Nevada. You irrevocably consent to personal jurisdiction in these courts.
18.4 Collections / Fraud Venue Carve-Out. For collection of amounts due, SKNYShot Clinic may, at its option, file in any court of competent jurisdiction in your county/city/parish/district, without waiving Nevada venue for all other disputes.
